IT Contract US Sample Agreement

Parties Involved:

Service Provider: TechSolutions Inc.
Address: 123 Innovation Drive, San Francisco, CA 94107

Client: Acme Corporation
Address: 456 Business Rd, San Francisco, CA 94109

Scope of Work:

The Service Provider shall deliver software development, maintenance, and support services related to the client’s IT infrastructure as detailed in Schedule A.

Payment Terms:

The Client agrees to pay the Service Provider a total fee of $50,000, payable in installments as specified in Schedule B, upon completion of milestones.

Service Provider Responsibilities:

The Service Provider commits to delivering the services promptly and maintaining confidentiality of client data, in accordance with industry standards.

Term and Termination:

This agreement shall commence on the date signed and continue for 12 months, with provisions for renewal or early termination as specified herein.

Confidentiality:

Both parties agree to keep confidential all proprietary information obtained during the course of this agreement.

Governing Law:

This contract shall be governed by the laws of the State of California. Disputes shall be resolved in the courts of San Francisco.

Additional Provisions:

  • Both parties shall designate primary contacts for coordination and communication.
